Terms of Service

These Terms of Service (“Terms”) are entered into between you and No Code Labs Inc., a Delaware corporation (“No Code Labs Inc.,” “we,” “us”). By purchasing or using our services, you agree to these Terms. If you do not agree, do not use our services.
Services. No Code Labs Inc. provides AI-powered diagnostic audits and governed execution services for SEO and business automation. Our services include health scoring, constraint identification, prioritized action plans, and measurable improvement cycles. Service offerings are organized into diagnostic audits, governed execution retainers, and full automation buildout engagements, each with defined scopes and deliverables as described on our website and during the intake process.
Engagement Process. All engagements begin with a diagnostic audit, which serves as the foundation for any subsequent work. Execution and buildout services require a completed diagnostic audit as a prerequisite. The scope, timeline, and investment for each engagement are defined based on audit findings and mutual agreement between you and No Code Labs Inc. We reserve the right to decline any engagement at our sole discretion.
Authorization and Governance. For governed execution engagements, no changes to your systems, website, or workflows are implemented without your explicit written authorization. All actions performed under a governed execution engagement are logged with an immutable audit trail that documents what was changed, why the change was recommended, the expected impact, and who approved it. This governance model ensures full transparency and accountability throughout the engagement.
Payment. Diagnostic audit fees are paid upfront via Stripe prior to the commencement of work. Execution retainer fees are billed monthly at the beginning of each billing cycle. All prices are listed in United States Dollars (USD). Where specified during intake, diagnostic audit fees may be credited toward the first month of a governed execution retainer. Payment terms and any applicable credits will be confirmed in writing prior to the start of services.
Delivery. SEO diagnostic audits are typically delivered within 48 to 72 hours of receiving the required access credentials and information. Automation diagnostic audits are typically delivered within 5 to 7 business days. These timelines are estimates and may vary based on the complexity of the engagement scope, the responsiveness of the client in providing required access, and other factors beyond our reasonable control. We will communicate any anticipated delays promptly.
Intellectual Property. Diagnostic reports, deliverables, and all work product created specifically for your engagement are yours upon full payment. Our diagnostic methodology, scoring algorithms, system architecture, proprietary tools, and underlying technology remain the exclusive intellectual property of No Code Labs Inc. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the deliverables expressly provided under your engagement.
Limitation of Liability. To the maximum extent permitted by applicable law, the total liability of No Code Labs Inc. for any claim arising out of or relating to these Terms or the services provided hereunder shall not exceed the amount paid by you for the specific service giving rise to the claim. In no event shall No Code Labs Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, regardless of the cause of action or the theory of liability.
Confidentiality. We treat all client data, access credentials, business information, and engagement details as confidential. We do not disclose client information to third parties without your consent, except as required to deliver the services described herein or as required by law. This obligation of confidentiality survives the termination of any engagement.
Termination. Either party may terminate an ongoing execution or buildout engagement with 30 days written notice to the other party. Diagnostic audits that are in progress at the time notice of termination is received will be completed and delivered. Upon termination, all outstanding fees for work performed through the effective date of termination become immediately due and payable.
Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
