Terms of Service

These Terms of Service (“Terms”) are entered into between you and No Code Labs Inc., a Delaware corporation (“No Code Labs Inc.,” “we,” “us”). By purchasing or using our services, you agree to these Terms. If you do not agree, do not use our services.

Services. No Code Labs Inc. provides AI-powered audits and governed execution services for digital presence and business automation. Service offerings are: (a) the Digital Presence Audit, a one-time audit of your online presence producing a Digital Presence Score and prioritized fix list; (b) the Automation Audit, a one-time audit that includes the Digital Presence Audit and adds workflow mapping and an automation roadmap; and (c) monthly subscriptions — Operate, Grow, and Scale — under which agents perform fix work on your listings, website, and (on Scale) workflows, subject to your approval, with scopes as described on our pricing page.

Engagement Process. All engagements begin with an audit. Subscriptions include the applicable audit in the first billing period; standalone audits may be purchased without a subscription. Subscription scope is defined by the tier purchased. We reserve the right to decline any engagement at our sole discretion.

Authorization and Governance. For governed execution engagements, no changes to your systems, website, or workflows are implemented without your explicit written authorization. All actions performed under a governed execution engagement are logged with an immutable audit trail that documents what was changed, why the change was recommended, the expected impact, and who approved it. This governance model ensures full transparency and accountability throughout the engagement.

Payment. Audit fees are paid upfront via Stripe before work begins. Subscription fees are billed via Stripe at the start of each billing period, monthly or annually as selected at checkout. All prices are in USD. Audit fee credits are governed by our Refund Policy.

Delivery. Audit delivery depends on the responsiveness of the client in providing required access and information and on the complexity of the engagement. We do not guarantee delivery timelines and will communicate anticipated timing at intake.

Intellectual Property. Diagnostic reports, deliverables, and all work product created specifically for your engagement are yours upon full payment. Our diagnostic methodology, scoring algorithms, system architecture, proprietary tools, and underlying technology remain the exclusive intellectual property of No Code Labs Inc. Nothing in these Terms grants you any right, title, or interest in our intellectual property beyond the deliverables expressly provided under your engagement.

Limitation of Liability. To the maximum extent permitted by applicable law, the total liability of No Code Labs Inc. for any claim arising out of or relating to these Terms or the services provided hereunder shall not exceed the amount paid by you for the specific service giving rise to the claim. In no event shall No Code Labs Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, regardless of the cause of action or the theory of liability.

Confidentiality. We treat all client data, access credentials, business information, and engagement details as confidential. We do not disclose client information to third parties without your consent, except as required to deliver the services described herein or as required by law. This obligation of confidentiality survives the termination of any engagement.

Termination. You may cancel a subscription at any time from the portal; cancellation takes effect at the end of the current billing period. We may terminate a subscription with notice to you, in which case any prepaid, unused period is refunded pro rata. Audits in progress at the time of cancellation will be completed and delivered. Fees for work performed through the effective date of termination remain due.

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
